The terms and conditions governing your use of our services.
By accessing our website or engaging Apprest Smart Pvt Ltd for services, you agree to be bound by these Terms of Service and all applicable Indian laws and regulations. If you do not agree with any of these terms, you are prohibited from using our services.
Apprest Smart Pvt Ltd provides custom software development services including but not limited to mobile app development, web application development, e-commerce solutions, enterprise software, API development, and cloud/DevOps services. The specific scope, deliverables, timeline, and cost of each project are defined in a separate Project Agreement signed by both parties.
All projects require a signed Project Agreement or Statement of Work (SOW) before commencement. Any changes to the agreed scope must be submitted in writing and may result in additional charges and timeline adjustments. Verbal agreements are not binding.
Our standard payment structure is milestone-based:
Payments are due within 7 days of invoice. Late payments attract an interest charge of 2% per month. We reserve the right to suspend work on overdue accounts.
Upon receipt of full and final payment, all intellectual property rights in the custom work created for you — including source code, designs, and documentation — are transferred to you. Apprest retains the right to use general methodologies, frameworks, and tools developed during the project for other clients. We do not transfer ownership of any third-party libraries or open-source components used in your project.
We treat all client information as strictly confidential. We sign a Non-Disclosure Agreement (NDA) before any detailed project discussions. Our team members are bound by confidentiality obligations. We will not disclose your project details, business information, or technical specifications to any third party without your explicit consent.
We provide a warranty period during which we fix bugs in the delivered software at no additional charge:
The warranty covers bugs and defects in the delivered code. It does not cover new feature requests, changes in requirements, or issues caused by third-party services.
To the maximum extent permitted by applicable law, Apprest Smart Pvt Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services. Our total liability to you for any claim arising from these terms shall not exceed the total amount paid by you to us in the 12 months preceding the claim.
Either party may terminate a project agreement with 30 days' written notice. Upon termination, you are responsible for payment of all work completed to the date of termination. We will deliver all completed work and materials upon receipt of payment for work done.
These Terms of Service are governed by and construed in accordance with the laws of India. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka, India.
